Mesdames, Messieurs,

Le CAPC musée d’art contemporain s’est associé avec la Fondation Culturgest pour présenter une exposition consacrée à Irma Blank. Cette itinérance sera l’occasion, pour les institutions participantes, d’offrir au public une exposition monographique consacrée à cette artiste peintre et graphiste italo-allemande, qui matérialise le langage à travers son art.

Cette exposition, conçue par deux commissaires indépendantes, Joana P. R Neves et Johana Carrier, et réalisée par Culturgest, sera présentée dans les lieux suivants : - à Culturgest, à Lisbonne du 29 juin au 8 septembre 2019,

- au Mamco, à Genève, du 9 octobre 2019 au 2 février 2020,

- au CAPC musée d’art contemporain de Bordeaux de mars à juin 2020, - au CCA à Tel Aviv, du 2 juillet au 29 août 2020,

- à la Fondazione ICA, à Milan, au printemps 2021,

- à la Villa dei Ceidri, à Bellinzona, au printemps 2021,

- à Bombas Gens, à Valence (Espagne), en automne 2021.

Un catalogue de l’exposition sera édité à l’occasion de cette itinérance. Culturgest s’engage à en remettre au CAPC musée d’art contemporain 300 exemplaires, dont 250 seront dédiés aux dons et échanges et 50 seront dédiés à la vente au prix de 32 euros.

Une convention a été établie afin de préciser les modalités d’itinérance de l’exposition entre le CAPC musée d’art contemporain et la Fondation Culturgest.

En conséquence, nous vous demandons, Mesdames, Messieurs, de bien vouloir autoriser Monsieur le Maire :

- à signer cette convention.

- à appliquer ces tarifs.

Préambule

Dans le cadre de l’exposition IRMA BLANK présentée du 29 juin au 8 septembre 2019, à Fundação Caixa Geral de Depósitos – Culturgest de Lisbonne, et après accord entre les directions des deux institutions signataires du présent contrat, il est convenu une itinérance de l’exposition de Fundação Caixa Geral de Depósitos – Culturgest de la Ville de Lisbonne dans différentes institutions culturelles et notamment vers le CAPC musée d’art contemporain de la Ville de Bordeaux, selon les modalités ci-après énoncées.

Chaque institution pourra adapter le projet d’exposition à son espace, en accord avec les commissaires.

Preamble

As part of the exhibition IRMA BLANK presented from the 29th of June to the 8th of September 2019 at Fundação Caixa Geral de Depósitos – Culturgest in Lisbon, and after having been agreed by the two directions of the two institutions that are signing the present contract, it has been decided that the exhibition at Fundação Caixa Geral de Depósitos – Culturgest of the city of Lisbon will tour to different institutions and namely the CAPC museum of contemporary art of the city of Bordeaux, with the following modalities.

Each institution may adapt the exhibition project to its space in collaboration with the curators.

ARTICLE 1 – OBJET

Le présent contrat a pour objet de fixer l’ensemble des modalités liées à la présentation d’une exposition itinérante consacrée à IRMA BLANK au CAPC musée d’art contemporain à Bordeaux.

Cette exposition est conçue par deux commissaires indépendantes, Joana P. R. Neves et Johana Carrier, et réalisée par Fundação Caixa Geral de Depósitos – Culturgest.

Elle sera présentée dans les lieux suivants :

- à Culturgest, à Lisbonne du 29 juin au 8 septembre 2019,

- au Mamco, à Genève, du 9 octobre 2019 au 2 février 2020,

- au CAPC musée d’art contemporain de Bordeaux de mars à juin 2020, - au CCA à Tel Aviv, du 2 juillet au 29 août 2020,

ARTICLE 1 – OBJECT

The object of the present contract is to fix all of the modalities linked to the presentation of a touring exhibition devoted to IRMA BLANK at the CAPC museum of contemporary art of Bordeaux.

This exhibition has been conceived by two independent curators, Joana P. R. Neves and Johana Carrier, and produced by Fundação Caixa Geral de Depósitos – Culturgest.

It will be presented in the following venues:

- At Culturgest, in Lisbon, from the 29th of June to the 8th of September 2019, - At MAMCO in Geneva, from the 9th of October 2019 to the 2nd of February 2020, - At the CAPC museum of contemporary art in Bordeaux, from March to June 2020, - At CCA in Tel Aviv, from the 2nd of July to the 29th of August 2020, - At the Fondazione ICA in Milan, in the Spring of 2021,

- At the Villa dei Ceidri in Bellinzona, in the Spring of 2021,

- At Bombas Gens, in Valencia (Spain), in the Autumn of 2021.Page 3/6

ARTICLE 2 – OBLIGATIONS DE CULTURGEST

Culturgest s’engage à faciliter le prêt des œuvres, dans un parfait état de présentation au public.

Culturgest s’engage à :

- Mettre en contact la Ville de Bordeaux – CAPC musée avec les Prêteurs pour l’élaboration des contrats de prêt

- Etablir les constats d’état à l’arrivée des œuvres en provenance des Prêteurs avant et après l’exposition à Culturgest

- S’assurer que chaque œuvre voyage selon les conditions d’emballage préconisées par l’Artiste et/ou les Prêteurs (caisses, tamponnages…)

- Fournir au CAPC musée au plus tard le 1er décembre 2019 les textes en Portugais ou Anglais :

*de la cimaise pour l’exposition (1500 signes, espaces inclus)

*pour le document pédagogique d’aide à la visite (9500 signes, espaces inclus) *du communiqué de presse (2100 signes, espaces inclus)

*des cartels spécifiques aux œuvres présentées à Culturgest

- Culturgest s’engage à remettre à la Ville de Bordeaux - CAPC musée 300 (trois cents) exemplaires du catalogue édité à l’occasion de l’itinérance, au plus tard le 28 février 2020. Les frais de livraison seront à la charge de la Ville de Bordeaux – CAPC musée.

ARTICLE 2 – OBLIGATIONS OF CULTURGEST

Culturgest agrees to facilitate the loan of the artworks, in a perfect state of presentation for the public.

Culturgest agrees to:

- Put the City of Bordeaux – CAPC musée in contact with the Lenders for the elaboration of the loan contracts

- Draw up the condition reports at the arrival of the artworks from the Lenders before and after the exhibition at Culturgest

- Ensure that each artwork travels according to the packaging instructions given by the Artist and/or the Lenders (crates, softpacking, etc.)

- Establish the general touring budget and supply a detailed account of the charges that are to be taken care of by each Party

- Supply the CAPC musée by the 1st of December 2019 with texts in Portuguese or English

 Of the exhibition wall text (1.500 characters, spaces included – in English)  For the education document (9.500 characters, spaces included – in Portuguese)  For the press release (2.100 characters, spaces included – in English)  For the exhibition labels for the artworks presented at Culturgest

- Culturgest agrees to deliver to the City of Bordeaux – CAPC musée 300 (three hundred) copies of the catalogue published on the occasion of the touring, at the latest by the 28th of February 2020. The transport costs will be at the charge of the City of Bordeaux – CAPC musée.Page 4/6

ARTICLE 3 – OBLIGATIONS DE LA VILLE DE BORDEAUX – CAPC MUSEE

La Ville de Bordeaux – CAPC musée s’engage à :

- Prendre part à l’itinérance de l’exposition

- Assurer la gestion technique liée à la préparation de l’exposition dans son établissement, en lien avec les institutions prenant part à l’itinérance si nécessaire (transport).

ARTICLE 3 – OBLIGATIONS OF THE CITY OF BORDEAUX – CAPC MUSEE

The City of Bordeaux – CAPC musée agrees to:

- Take part in the touring of the exhibition

- To ensure the technical supervision linked to the preparation of the exhibition in its establishment, in connexion with the institutions taking part in the tour if necessary (transport).

ARTICLE 4 – CONDITIONS FINANCIERES

En contrepartie de la mise à disposition de l’exposition dans le cadre de son itinérance, la Ville de Bordeaux - CAPC musée s’engage à verser à Culturgest la somme forfaitaire de 8910 Euros HT (huit mille neuf cent dix euros hors taxes), + TVA.

Cette somme est fixe et définitive, Culturgest s’engageant à ne pas demander de frais supplémentaires pour quelques motifs que ce soit.

Culturgest émettra une facture à l’encontre de la Ville de Bordeaux - CAPC musée qui effectuera le virement administratif selon les modalités prévues par les règles de la comptabilité publique en vigueur à l’émission du titre, au plus tard le 28 février 2020.

ARTICLE 4 – FINANCIAL CONDITIONS

In compensation for making the exhibition available for touring, the City of Bordeaux – CAPC musée agrees to pay Culturgest the fixed rate of 8910 Euros excluding tax (eight thousand nine hundred and ten euros excluding tax, + VAT).

This sum is fixed and definite, Culturgest agrees to not request a larger amount for any motive whatsoever.

Culturgest will invoice the City of Bordeaux – CAPC musée, who will proceed with a wire transfer, according to the modalities of the rules of public accounting in effect at this time, at the latest by the 28th of February 2020.

ARTICLE 5 – DUREE

Le présent contrat entrera en vigueur à compter de la date de la signature par les deux Parties pour expirer à la date du retour des œuvres aux prêteurs, à l’issue de l’exposition au CAPC musée.

ARTICLE 5 – DURATION

The present contract will come into effect starting from the date of the signature of the two Parties, and will terminate when the works are returned to the lenders at the end of the exhibition at the CAPC musée.Page 5/6

ARTICLE 6 – RESILIATION ANTICIPEE – LITIGES – REGLEMENT A L’AMIABLE – CONTENTIEUX

6-1 Force majeure

Si l’exposition n’a pas lieu en raison d’un cas de force majeure ou de résiliation anticipée de l’une des Parties, les Parties renégocieront les conditions financières du présent contrat.

6-2 Litiges-Règlement à l’amiable-Contentieux

Tout litige concernant tant l'interprétation que l'exécution du présent contrat fera l’objet d’un règlement à l’amiable entre les Parties avant toute procédure contentieuse.

6-3 Loi applicable et attribution de compétence

Le présent contrat est régi par la loi française.

Tout litige relatif notamment à l’interprétation et l’exécution du présent contrat sera soumis aux tribunaux compétents siégeant à Bordeaux.

ARTICLE 6 – EARLY TERMINATION – DISPUTES – AMICABLE SETTLEMENT – LITIGATION

6-1 Force majeure

If the exhibition were not to take place due to a case of force majeure or early termination by one of the Parties, the Parties will renegotiate the financial terms of this contract.

6-2 Disputes – Amicable settlement – Litigation

Any dispute regarding the interpretation or the execution of the present contract will be the object of an amicable settlement between the two parties before any litigation.

6-3 Applicable law and applicable jurisdiction

This agreement is governed by French law.

Any dispute relating to the interpretation and implementation of this agreement which could not be settled amicably shall be subject to the jurisdiction of the courts of Bordeaux.

ARTICLE 7 – ELECTION DE DOMICILE
