Mesdames, Messieurs,
Dans le cadre de sa programmation 2020, le CAPC présentera une exposition consacrée à l’artiste Caroline Achaintre.
Née en Occitanie, élevée en Allemagne, basée à Londres, elle est une artiste à la renommée internationale. Tapisseries, aquarelles, céramiques : autant de techniques traditionnelles dont elle s’empare pour constituer un travail riche et éclectique. L’artiste ne cesse de mettre au défi ces matières pour créer une œuvre sensuelle et hors-norme.
Son travail, présenté dans un premier temps en 2019 au Belvédère de Vienne, puis au MO.CO. Panacée (Musée d’art contemporain de Montpellier), sera montré à la Fondazione Giuliani à Rome à l’été 2020, avant de voyager au CAPC musée d’art contemporain de Bordeaux à l’automne 2020.
Une convention a été établie entre la Ville de Bordeaux et la Fondazione Giuliani pour préciser les droits et obligations des deux parties.
En conséquence, nous vous demandons, Mesdames, Messieurs, de bien vouloir autoriser Monsieur le Maire à signer cette convention.

PREAMBULE

Tapisseries, aquarelles, céramiques : autant de techniques traditionnelles dont elle s’empare pour constituer un travail riche et éclectique. L’artiste ne cesse de mettre au défi ses matières pour créer une œuvre sensuelle et hors-norme.
Le travail de l’artiste, présenté dans un premier temps en 2019 au Belvédère de Vienne, puis au MO.CO. Panacée (Musée d’art contemporain de Montpellier), sera montré à la Fondazione Giuliani à Rome de mai à juillet 2020, avant de voyager au CAPC musée d’art contemporain de Bordeaux à l’automne 2020. La Ville de Bordeaux – CAPC musée et la Fondazione Giuliani, désignés collectivement comme « les Parties », se sont engagés dans une étroite collaboration pour organiser ensemble cette exposition consacrée à l’artiste Caroline Achaintre.
PREAMBLE
Born in the South of France, raised in Germany and based in London, Caroline Achaintre is an internationally renowned artist. Tapestries, watercolours, ceramics are the traditional techniques that she uses to make a rich and eclectic work. The artist constantly challenges the matter to create a sensual and extraordinary body of work.
The work of the artist, first presented in 2019 at the Belvedere in Vienna, followed by the MO.CO. Panacée (Museum of Contemporary Art of Montpellier), will be shown at the Fondazione Giuliani in Rome from May - July 2020, before travelling to the CAPC museum of contemporary art of Bordeaux in the Autumn of 2020.
The City of Bordeaux – CAPC musée and Fondazione Giuliani, referred to collectively as “the Parties”, maintain close cultural cooperation. It is the wish of the parties to cooperate on the organisation of this exhibition dedicated to Caroline Achaintre.
ARTICLE 1 - OBJET
La présente convention a pour objet de définir les modalités d’organisation de l’exposition consacrée à l’artiste Caroline Achaintre entre la Ville de Bordeaux - CAPC musée et la Fondazione Giuliani. Elle définit également la répartition des coûts potentiels liés à la présentation de cette exposition dans les deux institutions, pris en charge par les deux Parties.
La Fondazione Giuliani confirme son engagement à présenter l’exposition dans ses locaux de Rome, Italie, de mai à juillet 2020.
La Ville de Bordeaux – CAPC musée confirme son engagement à présenter l’exposition dans ses locaux de Bordeaux, France, d’octobre 2020 à janvier 2021. Ces dates sont susceptibles de modifications.
L’annexe ci-après fait partie intégrante de la présente convention :
Annexe 1 : liste des œuvres présentées dans les deux lieux
Chaque institution a la charge de l’organisation de sa propre exposition (organisation, supervision, suivi), dans son propre lieu.
ARTICLE 1 – AGREEMENT SUBJECT MATTER
The present agreement concerns the organisation of the Exhibition between the City of Bordeaux – CAPC musée and the Fondazione Giuliani.
The agreement also addresses the potential cost-sharing linked to the presentation of this exhibition in the two institutions, taken care of by the two Parties.
Fondazione Giuliani confirms its commitment to show the Exhibition at its premises in Rome, Italy, from May – July 2020.
The City of Bordeaux – CAPC musée confirms commitment to show the Exhibition at its premises in Bordeaux, France, from October 2020 to January 2021. These dates may be subject to modifications.
The following annexe constitutes an integral part of the Agreement:
- Annex 1: Core list of artworks for the Two Venues
Each institution is in charge of the organisation of its own exhibition (organisation, supervision, follow- up) in its own space.
ARTICLE 2 – OBLIGATIONS DE LA VILLE DE BORDEAUX – CAPC MUSEE
Pour sa propre exposition, sur son propre lieu, la Ville de Bordeaux-CAPC musée s’engage à : - rédiger, envoyer et gérer les demandes de prêt des œuvres auprès des prêteurs (galeries, artistes, collectionneurs privés, institutions…) ; - établir les constats d’état à l’arrivée et au départ des œuvres à et de Bordeaux ; - organiser le transport des œuvres depuis la Fondazione Giuliani, Rome, jusqu’au CAPC musée, puis du CAPC musée aux Prêteurs, à la fin de l’exposition, sauf en cas de l’application de l’article 4.2 ci-dessous ;
- couvrir les frais d’assurance des œuvres, dès leur départ de la Fondazione Giuliani, pendant toute la durée de l’exposition à Bordeaux et jusqu’à leur retour chez les Prêteurs ; - assurer le montage, le démontage et la maintenance de l’exposition avec le personnel technique et scientifique du CAPC musée ;
- se conformer à toutes les instructions particulières exposées par écrit ainsi qu'aux notes de recommandation formulées par les Prêteurs et/ou artiste accompagnant l'exposition pour ce qui concerne les précautions de manutention, d'installation, de présentation et de protection des œuvres ;
- présenter les œuvres d'une manière respectueuse et en un lieu convenable afin de protéger et prendre soin des œuvres d'art suivant les conditions énoncées par les Prêteurs et/ou artiste ;
- organiser le transport des œuvres, depuis le CAPC musée jusqu’aux Prêteurs, à la fin de l’exposition à Bordeaux.
ARTICLE 2 – OBLIGATIONS OF THE CITY OF BORDEAUX – CAPC MUSEE
For its own exhibition, in its own space, the City of Bordeaux – CAPC musée agrees to: - draft, send and manage the loan requests with the lenders (galleries, artists, private collectors, institutions, etc.);
- draw up the Condition Report upon the arrival and the departure of the artworks in and from Bordeaux;
- organise the transport of the artworks from Fondazione Giuliani in Rome to the CAPC musée then from the CAPC musée back to the Lenders at the end of the exhibition, except in the case of Article 4.2 being applied (see below);
- cover the insurance costs of the artworks, on their departure from Fondazione Giuliani, during the exhibition in Bordeaux and until their return to the Lenders;
- ensure the installation, dismantling and maintenance of the exhibition with the technical and scientific personnel of the CAPC musée;
- comply to any specific written instructions as well as notes of recommendation written by the Lenders and/or the artist accompanying the exhibition for any concerns regarding the handling, the installation, the preparation and the protection of the artworks; - present the artworks in a respectful manner and in a convenient space in order to protect and take care of the artworks following the conditions listed by the Lenders and/or the artist; - organise the transport of the artworks from the CAPC musée to the Lenders, at the end of the exhibition in Bordeaux.
ARTICLE 3 – OBLIGATIONS DE LA FONDAZIONE GIULIANI
Pour sa propre exposition, sur son propre lieu, la Fondazione Giuliani s’engage à : - gérer les prêts des œuvres auprès des prêteurs (galeries, artistes, collectionneurs privés, institutions…) ;
- établir les constats d’état à l’arrivée et au départ des œuvres à et de Rome ; - organiser le transport des œuvres depuis le MO.CO. Panacée jusqu’à la Fondazione Giuliani, à la fin de l’exposition à Montpellier ;
- couvrir les frais d’assurance des œuvres, dès leur départ du MO.CO. Panacée, pendant toute la durée de l’exposition à Rome et jusqu’à leur départ en direction de Bordeaux ; - assurer le montage, le démontage et la maintenance de l’exposition en coordination avec le personnel technique et scientifique du Fondazione Giuliani ;
- assurer le stockage et la bonne conservation des œuvres à Rome entre les deux expositions ; - se conformer à toutes les instructions particulières exposées par écrit ainsi qu'aux notes de recommandation formulées par les Prêteurs et/ou artiste, accompagnant l'exposition pour ce qui concerne les précautions de manutention, d'installation, de présentation et de protection des œuvres ;
- présenter les œuvres d'une manière respectueuse et en un lieu convenable afin de protéger et prendre soin des œuvres d'art suivant les conditions énoncées par les Prêteurs et/ou l’artiste.

ARTICLE 3 – FONDAZIONE GIULIANI’S OBLIGATIONS
For its own exhibition, in its own space, Fondazione Giuliani agrees to: - manage the loans for the artworks lenders (galleries, artists, private collectors, institutions...); - draw up the Condition Report upon the arrival and the departure of the artworks in and from Rome;
- organize artworks transport from the MO.CO. Panacée to Fondazione Giuliani, at the end of the exhibition in Montpellier;
- cover the insurance costs of the artworks, on their departure from MO.CO. Panacée, during the exhibition in Rome and until they depart for Bordeaux;
- ensure the installation, dismantling and maintenance of the exhibition with the technical and scientific personnel of Fondazione Giuliani;
- ensure the storage and the conservation of the artworks in Rome between the two exhibitions; - comply to any specific written instructions as well as notes of recommendation written by the Lenders and/or the artist accompanying the exhibition for any concerns regarding the handling, the installation, the preparation and the protection of the artworks; - present the artworks in a respectful manner and in a convenient space in order to protect and take care of the artworks following the conditions listed by the Lenders and/or the artist.
ARTICLE 4 – PARTICIPATION FINANCIERE
4.1 Dépenses liées à chaque lieu
Il est convenu que chaque Partie prend en charge tous les coûts liés à sa propre exposition dans son propre lieu, tels que les coûts techniques de montage, démontage, frais de personnel, scénographie et éléments de scénographie, maintenance, lumières, communication et publicité…
4.2 Partage éventuelle des dépenses
Dans le cas où des formalités et frais douaniers seraient nécessaires dans le cadre d’une sortie de l’Union Européenne du Royaume Uni, la Ville de Bordeaux – CAPC musée et la Fondazione Giuliani s’engagent à prendre en charge à parts égales les frais financiers liés au transport retour des œuvres en provenance de Londres, incluant les formalités douanières. Le budget est basé sur les estimations convenues des coûts. Ces postes de dépenses incluront la TVA ou taxes locales équivalentes.
ARTICLE 4 - COSTS
4.1 Local costs
It is agreed that each Party will take charge of all of the costs linked to its own exhibition in its own space, such as technical costs of installation, dismantling, personnel, scenography and elements of exhibition design, maintenance, lighting, communication and publicity...
4.2 Potential shared costs
If custom formalities were to appear in the case of an application of Brexit, the City of Bordeaux – CAPC musée and Fondazione Giuliani agree to share the costs linked to the return transport of the artworks coming from London, including customs formalities. The Budget is based on agreed cost estimates. These expenditure items will exclude VAT or similar local taxes.
ARTICLE 5 – RESILIATION - ANNULATION
Si l’Exposition ne peut être présentée dans un des lieux en raison d’un manquement significatif d’une des Parties dans l’exécution de ses obligations aux termes de cette convention ou de cas de force majeure, la Partie concernée doit en informer l’autre Partie par lettre recommandée avec accusé de réception.
La Partie concernée sera alors responsable uniquement des dépenses qu’elle aura contractées ou engagées avant la date de l’annulation et des coûts afférents au niveau local.
ARTICLE 5 – TERMINATION - CANCELLATION
If the exhibition is not presented in the one of the venues due to significant failure by one of the Parties to perform its obligations under this agreement or by Acts of God, the corresponding Party must inform the other Party by recorded delivery letter with proof of receipt. The corresponding Party shall be then only responsible for those expenses that have been incurred or committed prior to the date of cancellation and the respective local costs.
ARTICLE 6 – VALIDITE DE LA CONVENTION
6.1 – Dans l’hypothèse où l’une des dispositions du présent contrat viendrait à être déclarée nulle ou non applicable en droit, la disposition en cause sera supprimée et/ou amendée de façon à permettre l’exécution de toutes les autres dispositions du contrat, sauf si l’objet même de la disposition contestée remet en cause l’exécution du contrat.
6.2 – Les modifications éventuelles qui pourraient être apportées au présent contrat devront l’être par écrit, validées et signées par les deux Parties.
ARTICLE 6 – ENTIRE AGREEMENT
6.1 Should any term of this agreement be considered void or voidable under any applicable law then such term shall be severed or amended in such manner as to render the remainder of this agreement valid and enforceable unless the whole commercial object is frustrated.
6.2 This agreement may not be varied or altered save by written form signed by all Parties.
ARTICLE 7 – TRIBUNAL COMPÉTENT ET DROIT APPLICABLE
7.1 En cas de litige, les parties conviennent de saisir, à titre exclusif, les Cours et tribunaux compétents, uniquement après avoir épuisé toutes voies envisageables de conciliation qui pourrait permettre un arrangement amiable non juridictionnel.
7.2 Le présent contrat est rédigé en langue française et anglaise.
7.3 Les litiges relatifs à l’application de la présente convention seront soumis aux juridictions compétentes siégeant Bordeaux, France.
ARTICLE 7 - COMPETENT COURTS AND APPLICABLE LAW
7.1 In case of conflict, the parties agree that they will only appeal to the competent courts after they have exhausted all possible forms of reconciliation to reach an amicable out-of-court settlement.
7.2 The present agreement has been drafted in French and in English.
7.3 Any disputes arising under the application of the present Agreement shall be subject to the jurisdiction of the courts in Bordeaux, France.
ARTICLE 8 – ELECTION DE DOMICILE
Pour l’exécution des présentes, il est fait élection de domicile :

- pour la Fondazione Giuliani Via Gustavo Bianchi, 1 00153 – Roma, Italie
