CONVENTION DE PARTENARIAT DANS LE CADRE
DU FESTIVAL POINTS DE VUE 2024

Antton CURUTCHARRY, Vice-Président en charge de la
Culture, dûment habilité par délibération du Conseil
permanent du

Et
Habitat Sud Atlantic, Office Public de l’Habitat, situé 2 Chemin
Abbé Edouard Cestac, 64100 Bayonne, représenté par
Monsieur Lausséni Sangaré, Directeur Général, ci-après
dénommée « Habitat Sud Atlantic »,
Et
Yuzhen Ke, dit NUT, artiste intervenant à l’occasion de la 8ème
édition du festival Points de Vue, ci-après dénommé
« l’artiste »,
PRÉAMBULE
Dans le cadre de son projet culturel, la Communauté
d’Agglomération Pays Basque, déploie le festival Points de
Vue sur l’ensemble de son périmètre. Cet événement se
déroule dans l’espace public et s’organise en deux temps : un
temps de Résidences artistiques sur le territoire, puis un
temps de festival à Bayonne.
Les Résidences d’artistes-auteurs font l’objet d’une circulaire
n° MCCD1601967C du 08/06/2016 du Ministre de la Culture,
publiée au BO n° 259, à laquelle il sera utile de se référer en
tant que de besoin.
La nature des œuvres créées par l’artiste, rend incontestable
leur protection en tant qu’œuvres de l’esprit au sens de
l’article L.112-2 du Code de la propriété intellectuelle.
IL EST CONVENU ENTRE LES PARTIES CE QUI SUIT :
ARTICLE 1 – OBJET
La présente convention a pour objet de définir les modalités

Antton CURUTCHARRY, Vice-President in charge of Culture,
duly authorized by decree of deliberation of the Permanent
Council of , hereinafter
referred to as "the organizer",
And
Habitat Sud Atlantic, Office Public de l’Habitat, located at
Chemin Abbé Edouard Cestac, 64100 Bayonne - FRANCE,
represented by Monsieur Lausséni Sangaré, Chief Executive
Officer, hereinafter referred to as « Habitat Sud Atlantic »,
And
Yuzhen Ke, aka NUT, artist participating in the 8th edition of
the Points de Vue festival, hereinafter referred to as "the
artist",
FOREWORD
As part of its cultural project, the Basque Country
Agglomeration Community is deploying the Points de Vue
festival throughout its perimeter. This event takes place in
the public space and is organized in two stages: a period of
artistic residences on the territory, then a festival period in
Bayonne.
Residences of artists-authors are the subject of a circular n°
MCCD1601967C of 08/06/2016 from the Minister of
Culture, published in BO n° 259, to which it will be useful to
refer as necessary.
The nature of the works created by the artist makes their
protection indisputable as works of the mind within the
meaning of article L.112-2 of the Intellectual Property Code.
IT IS AGREED AS FOLLOWS:
ARTICLE 1 – OBJECT
The purpose of this agreement is to define the terms of de partenariat entre la Communauté d’Agglomération Pays
Basque, Habitat Sud Atlantic et l’artiste, pour la réalisation
d’une ou plusieurs interventions artistiques, sur un ou
plusieurs sites préalablement sélectionnés, dans le cadre de
la 8ème édition du festival Points de Vue, organisé du 1er au
20 octobre 2024.
ARTICLE 2 – ENGAGEMENTS DE L’ARTISTE
Par la présente convention, l’artiste s’engage à réaliser une
œuvre dans le cadre du festival Points de vue organisée par la
CAPB à Bayonne du 13 au 20 octobre 2024.
L’artiste s’engage à tout mettre en œuvre afin de respecter le
délai communiqué par l’organisateur et à fournir une œuvre
finie à la date butoir. En cas d’impossibilité à terminer
l’œuvre dans les délais impartis, l’artiste s’engage à le
communiquer rapidement à l’organisateur.
L’artiste s’engage à communiquer toutes les informations
techniques de l’œuvre créée : titre, techniques utilisées et
dimensions, références, photos permettant à l’organisateur
d’assurer la médiation du travail de l‘artiste.
Si l’utilisation de nacelle est nécessaire à la création de
l'œuvre, l’artiste doit en informer l’organisateur. Si tel est le
cas, il fera son affaire des permis nécessaires et/ou autres
certificats d'aptitude pour l’utilisation de telles machines.
L’artiste garantit à l’organisateur que son œuvre est
entièrement originale, que tous les éléments protégés par un
droit intellectuel ou par un droit de la personnalité
éventuellement utilisés par lui sont licitement intégrés dans
l’œuvre et que toutes les autorisations nécessaires à la
présentation de l’œuvre par l’organisateur ont fait l’objet
d’autorisations de la part des ayants droit.
L’organisateur décline toutes responsabilités en cas de
dommages causés par l’artiste au cours de sa performance.
L’artiste s’engage à présenter une attestation de vigilance (cf.
espace personnel de l’URSSAF Limousin), le cas échéant une
dispense de précompte ou un avis de situation du répertoire
SIREN, un RIB, une assurance responsabilité civile
professionnelle.
ARTICLE 3 – ENGAGEMENTS D’HABITAT SUD ATLANTLIC
Habitat Sud Atlantic s’engage à mettre à disposition de
l’organisateur, le support sur lequel interviendra l’artiste.
L’entreprise s’engage à régler directement à l’artiste sa
prestation artistique pour un montant de 3 000 € TTC.
Il est convenu que cette rémunération sera versée sur
présentation d'une facture à l'issue de la réalisation.
ARTICLE 4 – ENGAGEMENTS DE LA COMMUNAUTÉ
D’AGGLOMÉRATION PAYS BASQUE
L’organisateur veillera à accomplir toutes les démarches
administratives nécessaires à l'obtention de l’autorisation
d’exploitation du site attribué à l’artiste pour la réalisation de

October 1 to 20, 2024.
ARTICLE 2 - COMMITMENTS OF NUT
By this agreement, the artist undertakes to create a mural
as part of the Points de vue festival organized by the CAPB,
from October 13 to 20, 2024.
The artist undertakes to make every effort to respect the
deadline communicated by the organizer and to provide a
finished work by the deadline. If it is impossible to complete
the work within the time allowed, the artist undertakes to
communicate this quickly to the organizer.
The artist undertakes to communicate all the technical
information of the work created: title, techniques used and
dimensions, references, photos allowing the organizer to
mediate the artist's work.
If the use of a basket is necessary for the creation of the
work, the artist must inform the organizer. If this is the
case, he will take care of the necessary permits and/or other
certificates of aptitude for the use of such machines.
The artist guarantees to the organizer that his work is
entirely original, that all the elements protected by an
intellectual right or by a personality right possibly used by
him are lawfully integrated into the work and that all the
authorizations necessary for the presentation of the work
by the organizer have been authorized by the rights
holders.
The organizer declines all responsibility in the event of
damage caused by the artist during his performance.
The artist undertakes to present his status, SIREN or
SIRET/DUNS number, RIB/SWIFT, professional liability
insurance (or equivalent for foreign artists).
ARTICLE 3 – COMMITMENTS OF HABITAT SUD ATLANTLIC
Habitat Sud Atlantic undertakes to provide the organizer
with the support on which the artist will perform.
The company undertakes to pay the artist directly for his
artistic performance in the amount of 3 000 € inclusive of
tax.
It is agreed that this payment will be made on presentation
of an invoice once the work has been completed.
ARTICLE 4 - COMMITMENTS OF THE BASQUE COUNTRY
AGGLOMERATION COMMUNITY
The organizer will take care to carry out all the l'œuvre.
Sauf indication contraire de la part de l’artiste, l’organisateur
fournira à l’artiste la peinture et l'ensemble du matériel
nécessaire à la réalisation de la fresque sur présentation
d’une liste détaillée (à fournir avant le 10 septembre 2024).
L’organisateur prendra en charge les coûts de préparation du
support avant la venue de l’artiste.
L’organisateur organisera la venue de l’artiste et prendra à sa
charge ses frais d'accueil notamment, l’hébergement, les
repas. Les frais de transport seront pris en charge à hauteur
de 1250€ (mille deux cent cinquante euros). L’artiste
procédera à la réservation et au paiement de ses titres de
transport ou frais liés à l' utilisation de son véhicule.
En dehors de la période couverte par la livraison de paniers
repas et du catering, les frais de repas sont remboursés dans
la limite de l’indemnité réglementaire fixée à 20,00€ par
repas.
ARTICLE 5 – MODALITES DE PAIEMENT
L’artiste éditera deux factures distinctes à l’attention de
l’organisateur et d’Habitat Sud Atlantic. Elles seront
transmises respectivement par voie dématérialisée sur la
plateforme CHORUS Pro, avec les informations suivantes :

Pour l’organisateur : siret n° 200 067 106 00019 / code
service : CULT
Les paiements s’effectueront à réception des factures.
ARTICLE 6 - PROMOTION ET MENTIONS OBLIGATOIRES
Les trois parties s’engagent à assurer la communication de
l’événement.
Afin de promouvoir la performance, l’artiste s’engage à
fournir en temps utile tous les éléments permettant la
promotion de celle-ci.
En matière de communication et d’information, l’artiste,
Habitat Sud Atlantic et l’organisateur observeront
scrupuleusement les mentions obligatoires suivantes :
Nom de l'œuvre – 2024, nom de l’artiste, Points de Vue.
Ces mentions devront également être présentes sur tous
documents écrits relatifs à la promotion et à l’information sur
la fresque réalisée, ainsi que celles des partenaires que
l’organisateur fournira en temps utiles.
ARTICLE 7 - PROPRIÉTÉ INTELLECTUELLE DE L’ŒUVRE
Conformément à l'article L131-3 du Code de la Propriété
Intellectuelle, l’artiste cèdent à l'organisateur et à ses
partenaires actifs dans la promotion du festival, pour le
monde entier et pour toute la durée de protection des droits
d’auteur, les droits patrimoniaux suivants :

Unless otherwise indicated by the artist, the organizer will
provide the artist with the paint and all the material
necessary for the realization of the fresco on presentation
of a detailed list (to be provided before September 10,
2024).
The organizer will cover the cost of preparing the support
prior to the artist's arrival.
The organizer undertakes to cover accommodation, meals.
Transport costs will be covered up to 1250€ (One thousand
and two hundred and fifty euros). The artist will proceed
with the reservation and payment of his transport tickets or
costs linked to the use of his vehicle.
Outside the period covered by the delivery of packed
lunches and catering, meal costs are reimbursed within the
limit of the regulatory allowance set at 20,00€ per meal.
ARTICLE 5 – TERMS OF PAYMENT
The artist will issue two separate invoices to the organizer
and Habitat Sud Atlantic. Each invoice will be sent by
electronic way on the CHORUS Pro platform, with the
following details:

Payment will be made on receipt of invoices.
ARTICLE 6 - PROMOTION AND COMPULSORY NOTICES
The three parties undertake to ensure the communication
of the event.
To promote the performance, the artist undertakes to
provide in good time all the elements allowing the
promotion of it.
In terms of communication and information, the artist,
Habitat Sud Atlantic and the organizer will scrupulously
observe the following mandatory information:
Name of the mural – 2024, Name of the artist, Points de
Vue.
These mentions must also be present on all written
documents relating to the promotion and information on
the fresco produced, as well as those of the partners that
the organizer will provide in due course.
ARTICLE 7 - INTELLECTUAL PROPERTY OF THE WORK
In accordance with article L131-3 of the Intellectual Droit de représentation, permettant d'autoriser ou non
la diffusion publique de l'œuvre : récitation publique,
présentation publique, projection publique,
télédiffusion, réseaux en et hors ligne, etc.
Droit de reproduction, permettant d'autoriser la
reproduction de l'œuvre, sur tous supports et selon tous
procédés,
Droit de modification, d'adaptation, de traduction,
Droit d'utilisation et de diffusion à des fins informatives,
culturelles, scientifiques, pour un usage publicitaire.
L’artiste accepte que son œuvre puisse être recouverte par le
propriétaire du mur dans l’année suivant sa conception,
notamment en cas de travaux de rénovation du bâtiment,
d’usure de la fresque, ou de réalisation d’une nouvelle
œuvre. Par ailleurs, l’artiste ne pourra en aucun cas exiger de
l’organisateur, et ce à quelque moment que ce soit,
l’entretien et/ou la restauration de l’œuvre.
ARTICLE 8 – REGLEMENT DES LITIGES
La présente convention est soumise au droit français.
Pour tout différend concernant l’application de la présente
convention, conformément aux lois en vigueur, les parties
signataires saisiront le Tribunal Administratif de Pau.
Toutefois, les parties s’engagent à épuiser préalablement,
pour tous litiges, différends ou prétentions nés de la présente
convention ou se rapportant à celle-ci, y compris la validité, la
nullité et d’éventuelles violations de la convention ou sa
résiliation, les voies amiables (conciliation, arbitrage, etc.).
Fait en triple exemplaires à Bayonne, le
Chaque partie ayant reçu le sien.
Property Code, the artist gives to the organizer and its
active partners in the promotion of the festival, for the
whole world and for the entire duration of the protection of
the rights of author, the following economic rights:
Right of representation, allowing to authorize or not
the public diffusion of the work: public recitation,
public presentation, public projection, television
broadcasting, online and offline networks, etc.
Right of reproduction, allowing to authorize the
reproduction of the work, on all supports and
according to all processes,
Right of modification, adaptation, translation,
Right of use and distribution for informative, cultural,
scientific purposes, for advertising.
The artist accepts that his work may be covered by the
owner of the wall within one year of its design, in particular
in the event of renovation work on the building, wear of the
fresco, or the creation of a new fresco. In addition, the artist
may not under any circumstances require the organizer, at
any time whatsoever, to maintain and/or restore the work.
ARTICLE 8 - SETTLEMENT OF DISPUTES
This agreement is subject to French law.
For any dispute concerning the application of this
agreement, in accordance with the laws in force, the
signatory parties will refer the matter to the Tribunal
Administratif de Pau.
However, the parties undertake to exhaust beforehand, for
all disputes, disputes or claims arising from this agreement
or relating to it, including the validity, nullity and possible
violations of the agreement or its termination, amicable
means (conciliation, arbitration, etc.).
